ARTICLE I: CHAPTER NAME
The name of this organization is the Georgia Chapter of the International Coach Federation, hereinafter known as GA ICF, aka Georgia Coach Association (GCA).
ARTICLE II: CHAPTER GOALS
Section 1 To sustain a not-for-profit association of professional business and personal coaches
Section 2 To support professional coach training and credentialing to increase the membership of professional business and personal coaches
Section 3 To broaden public understanding of professional business and personal coaching and coaching’s contributions to individuals, communities, society and the world by engaging in highly visible strategies of lobbying, marketing, public relations and publicity campaigns
Section 4 To encourage standards of ethics and conduct to help preserve the self-regulation and integrity of the coaching profession
Section 5 To enhance the professional development, practice-building success and spirit of community among its members
Section 6 To provide a network through which member coaches can learn of and share business opportunities
Section 7 To cooperate with other organizations and institutions whose programs and activities are consistent with the mission and purposes of ICF
Section 8 To be fiscally responsible
ARTICLE III: CHAPTER GOVERNANCE
Section 1 Governing Body
The operations of the Chapter shall be governed by an elected Board of Directors consisting of no more than twleve (12) members (See Article IV). The Board of Directors may define up to two at-large Director positions. One of the two at-large positions must be an ICF member (See Article V Section 2). The Board of Directors shall be elected by a majority vote of the total number of qualified members who vote.
Section 2 Board of Director Qualifications
To be a Director, one must be (a) a paid member in good standing with the International Coach Federation, (b) qualified as defined in Article V, Section 2, (c) nominated for office by the Nominating Committee, and (d) elected by a majority vote of the total number of qualified members who vote.
Section 3 Duties and Responsibilities of the Board of Directors
The Board of Directors shall provide leadership to accomplish the Chapter’s goals as defined in Article II, Sections 1-8. The Board shall set activity fees, determine fees at Chapter-sponsored events, and develop the policies necessary to effectively conduct Chapter business.
Section 4 Nominations to the Board of Directors
Nominations for election to the Board of Directors shall be made by a Nominating Committee consisting of (a) the immediate past president, (b) current president and (c) one other director or qualified member appointed by the current president. The Nominating Committee shall e-mail all qualified members a notice of the coming election, including a description of each Board position, and invite qualified members to notify the Nominating Committee of their nominations (including self-nominations) by September 30 of each year. At the next Board Meeting, the Nominating Committee will submit to the Board for approval by majority vote the names of one or more candidates for each Board position.
Section 5 Elections
Immediately after the Board meeting, the Nominating Committee will e-mail ballots to all qualified members. The ballots will describe the Board positions, the candidates for each position and a two-week deadline for voting. Votes received after the deadline are invalid. Members will vote via the GCA website. The Nominating Committee will count the ballots and announce the results at the next Chapter meeting. The Secretary will record the election results in the Minutes.
Section 6 Removal
Any member of the Board may be removed by a ¾ vote of the Board. The Secretary shall record the decision in the minutes of the Board meeting.
Section 7 Terms and Vacancies
The term of each office is one calendar year. All directors for the current and coming year will attend a joint Board of Directors meeting to facilitate the transition of leadership. Any vacancy on the Board may be filled by presidential appointment, subject to a majority vote of approval by the Board. The approved appointment will remain through December when the position will be filled by the election process.
Section 8 Board of Directors Meetings
Meetings of the Board of Directors will be at the places and times agreed upon by consensus of the Board. The President may call a special meeting at any time. The President shall call a special meeting of the Board upon the written request of 25% of the Board members. The written request must contain the agenda for the special meeting.
Section 9 Committees
The President may appoint committees to effectively and efficiently further the stated goals of the Chapter. The establishment of any committee must be approved by majority vote of the Board. Committee chairs or representatives will attend Board meetings at the discretion of the President with no rights to vote.
Section 10 Legal Purpose
Notwithstanding any other provision of these articles, the purposes for which the organization is established are exclusively religious, charitable, scientific, literary, and educational within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1954 or the corresponding provision of any future United States Revenue laws.
Section 11 Excluded Activities
Notwithstanding any other provision of these articles, this Chapter shall not carry on any activities not permitted to a Chapter exempt from Federal Income Tax under Section 501(c)(3) of the Internal Revenue Code of 1954 or corresponding sections of any prior or future IRS codes, or to the Federal, State, or local government for exclusive public use.
ARTICLE IV DUTIES OF THE CHAPTER OFFICERS
Section 1 President
The President presides at all meetings of the Board and of the Chapter and is the official communication channel for the Chapter. The President shall sign checks, instruments or documents that are lawfully executed on behalf of the Chapter. The President promotes professional coach training and credentialing to increase the membership of professional business and personal coaches. In case of the absence or disability of the President, or at the President’s or Board’s request, one of the ICF-member Vice Presidents may be appointed to perform some or all of the President’s duties. Must be an ICF member of the Chapter and have served on the Board for one full year in the past two years.
Section 2 Past President
To help ensure continuity of leadership, the current president shall serve on the Board of Directors for one year following her/his term as the immediate past president. Must be an ICF member of the Chapter.
President Elect
The President Elect works closely with the President in preparation for their own term serving as president. The President Elect is prepared to assume the office of the president or temporally act in that position at any time. The president elect may be responsible for overseeing the activities and progress of various committees, programs and initiatives as directed by the President. Must be an ICF member of the chapter and have served on the Board for one full year in the past two years.
Section 3 Vice Presidents
Administration/Internal Communications
The Vice President of Administration/Internal Communications supports the President as requested with administrative leadership of the Chapter. May be assigned responsibility for special projects (e.g., Regulatory Affairs). Must be an ICF member of the Chapter.
Membership
The Vice President of Membership is responsible for the official Chapter membership roster, responds to questions regarding Chapter membership, responds to inquiries about coaching, and works with other Chapter members to make the Chapter attractive to current and prospective members. May extend courtesies (gifts, cards and other acts of recognition to members on behalf of the Chapter. May design, collect, tabulate, analyze and report results of a satisfaction survey of the membership. The Vice President of Membership is responsible for the membership application files (See Article V, Section 3). Must be an ICF member of the Chapter.
Programs
The Vice President of Programs coordinates and provides monthly programs that further the goals and respond to the needs of the diverse membership of the Chapter. Utilizes the Program Proposal form, Presenter Guidelines and Program Evaluation form to execute responsibilities. Must be an ICF member of the Chapter.
Community Service
The Vice President of Community Service coordinates a program that offers pro bono coaching from the GA ICF Chapter as an entity, not as separate coaches, to community organizations to further the goals of the Chapter. Must be an ICF member of the Chapter.
Marketing & Public Relations
The Vice President of Marketing & Public Relations markets the Chapter to enhance the Chapter’s image, visibility, and attraction to new members; uses the media and events to position GA ICF as the "go to" organization for expertise on professional business and personal coaching in Georgia. Must be an ICF member of the Chapter.
Section 4 Secretary
The Secretary records the minutes of Chapter and Board meetings and is responsible for the official records of the Board and the Chapter. The Secretary shall keep the file up to date and make it available upon request for meetings of the Board and membership. The file shall include By-Laws, tax status records, meeting agendas, minutes, policies, procedures, monthly program announcements, Board decisions, guidelines, financial reports and other proceedings of the Board and Chapter. The Secretary may participate with the President and Treasurer to apply internal financial controls to help ensure fiscal responsibility. The Secretary may also perform other duties and have such authority as shall from time to time be assigned by the President or Board. Must be an ICF member of the chapter.
Section 5 Treasurer
The Treasurer shall perform the Chapter’s official financial transactions and keep accurate records of the Chapter’s accounts in keeping with standard financial management practices. The Treasurer shall provide the Board a financial report each month. The Treasurer shall participate with the President to apply internal financial controls to help ensure fiscal responsibility. Must be an ICF member of the chapter.
ARTICLE V CHAPTER MEMBERSHIP
Section 1 Membership Activity Fee
The annual fees for Full Members and Associate Members shall be determined by a majority vote of the Board of Directors informed by the financial records of the Chapter.
Section 2 Membership Qualifications
ICF Member/Credentialed
ICF Member/Credentialed must have received an ICF credential (ACC, PCC, MCC) at time of enrollment. Chapter activity fees must be paid in full. ICF Member/Credentialed members can use the Chapter’s electronic distribution system for self-promotion and e-networking and list their profiles on the Chapter’s web site. ICF Member/Credentialed members may serve on the Board of Directors in all positions.
ICF Member
ICF Members must be an ICF member at time of enrollment. Chapter activity fees must be paid in full. GCA Affiliate
GCA Affiliates may be practicing coaching as part of their profession as well as aspiring to do so. Chapter activity fees must be paid in full. GCA Affiliates can use the Chapter’s electronic distribution system for self-promotion and e-networking. Profiles cannot be listed on the Chapter’s website. GCA Affiliates are encouraged to become ICF members prior to joining as activity fees are annual fees and are non-refundable. GCA Affiliates may not serve on the Board of Directors as defined in Article IV.
Section 3 Membership Application
All prospective members shall complete an application for membership. The Vice President of Membership is responsible for maintaining each year’s membership applications and making them available for reference (e.g., committee appointment, nominations for Board of Director positions, etc.). At the end of the year the applications are made available to the Secretary for the official Chapter file.
Section 4 Voting
All qualified ICF (credentialed and non-credentialed) members of the Chapter are eligible to vote on any issue presented to the membership for a vote.
ARTICLE VI AMENDMENTS TO THESE BY-LAWS
Section 1 Recommendations for Amendment
These By-Laws may be amended by the Board of Directors, when recommended by a committee appointed by the President or upon a written request from at least twenty-five percent of the qualified members of the Chapter. The President shall have the recommended amendments posted on the Chapter’s website for two weeks.
Section 2 Amendment Approval
All qualified members of the Chapter shall be invited to review the amended By-laws on the website and vote on the totality of the By-Laws as presented via email within two weeks of posting on the site. Votes received after that date are invalid. A vote of qualified members shall decide the issue by a majority of those voting. A proposed amended set of By-Laws shall be considered ratified and effective when carried by a majority vote of the total number of qualified members who vote. The President shall have the officially amended By-Laws posted on the Chapter’s website. The Secretary will maintain a set of all By-Laws, past and current in the official Chapter file.
